Autism Policy and Politics: Indiana Voucher Program

The Indianapolis Star reports on Indiana's voucher program and its effect on one Chakotay Parks, who attends the Independence Academy of Indiana, a small private school that specializes in educating HFA students.
Indiana's voucher program allows parents to receive thousands of dollars that can be applied toward tuition at private schools that participate in the program. The amount of aid is based on the per-pupil funding the state sets for a student who otherwise would attend public school in his or her local district, so it doesn't necessarily cover all of the private school tuition.

The Parks family started looking for a new school two years ago for Chakotay, who is somewhere in the middle of the autism spectrum. Socially, he's about two years behind but is learning well.
Three to four months into the search, they found Independence Academy.
"It was number one on our Christmas list," said Parks, whose wife had cancer and died in January.
Parks said he and his wife always figured a special needs school would join the program at some point, and it was his wife who pestered state officials, looking for information.
She called, emailed and showed up at the Statehouse so often that Indiana Department of Education workers remembered to reach out to her family once a special education school applied for the program.
Lisa Roesler, director of Independence Academy, understands the benefit to families such as the Parkses of her school and other so-called niche schools accepting vouchers.
"Different environments work for different students," she said, "and the voucher program provides more possibilities to find a program that more specifically meets your child's needs, whatever those are."

IPO Watch: Is Machester United a Good Investment? | Stocks on ...

Every fan dreams of owning a piece of there favorite professional sports team? Would you overpay for the privilege to say you own a piece of the New York Yankees? Dallas Cowboys? L.A. Lakers? Most fans would hop on that opportunity right away. Well for the rest of the world, soccer team Manchester United is their New York Yankees. Winner of 19 English Premier League Titles, Manchester United is the most glorified sports franchise of all-time, boasting well over 600 million supporters worldwide. And in less than a month, just about any of those 600 million supporters will be able to make one call or a simple click of the mouse and own shares of the iconic franchise. Buying shares of Man United will be a great idea to many for the obvious personal reasons but the real question is whether or not buying shares of Manchester United is a good investment at all?

Why is Manchester United Going to Be Listed on the New York Stock Exchange?

So let?s analyze why a famous British Soccer team is going to list and trade at the New York Stock Exchange. It starts with a rich owner, Malcolm Glazer, who has huge ambitions and aspirations for the club. Malcolm Glazer bought the team in 2005 for $1.2 billion and wants to go public, raise funds, and mitigate risks while still retaining control of the team. Something every investor would love to have the opportunity to do. Listing on the NYSE will give the Glazer family a dual-class share structure; allowing them to keep voting rights.? This model is very much similar to the structure the Murdoch family setup to keep control of News Corp (NASDAQ: NWSA). Listing on the London Stock Exchange would not allow this kind of setup which is why they have chosen to bring the British Soccer across the pond.

What Can We Expect as an Investment?

What?s not to like, Manchester United is a franchise that turns a profit every year and has a track record of being a solid equity investment. Man United has appreciated more than ?20%?annually for the 14 years it was traded prior to the Glazer family taking control and taking it private seven years ago.

Cash is king & Manchester United has serious debt woes. The lopsided stock-ownership structure is nothing to be worried of when you compare it to the franchise?s debt woes. Yes that?s right, Man United currently has $650 million in debt, a staggering number when you factor in that the club carried no debt every year before 2005 when the Glazer family gained ownership. Since then, the Glazer has leveraged the club quite a bit using these tactics to get the team, and since the acquisition have used it as a piggy bank of sorts.?

If the IPO is successful and raises the expected $300 million or more where will that money go? Being valued at $3 billion, the assumption is that most of that money will pay down the debt but some fans or future shareholders might have other plans. Fans hope the money raised goes towards some more exciting business moves such as acquiring top notch players to keep up with the rest of the league, lowering ticket prices, or improving the stadium grounds. Acquiring top talent is even more intense now after they lost to cross-town rival Manchester City, a team that was long one of the worst in the league until it was purchased by a group from Abu Dhabi who invested billions in acquiring the top players across the world and successfully turned the team into an instant winner.

Manchester United fans have been pressuring the club more and more to acquire top players but the club?s debt worries have sucked out hundreds of millions that the team use to use to improve the talent on the pitch. A main reason Manchester United isn?t the football powerhouse that use to dominate the league year in year out.

For sale: world-famous company that?s highly leveraged with anti-takeover provisions and no dividend or stock buyback plans in sight.

A large issue surrounding the IPO is future accountability. As result of the Jobs Act, foreigncompanies can take advantage of many loopholes. For example, Manchester United will not have to report results every quarter or give forward-looking guidance. Pretty sweet deal for ownership, but a serious issue for most investors.

Who wants to own shares of a company saddled with debt where even the largest shareholders hold no control. Many will still buy for the same reason people bought shares in the Green Bay Packers, a stock that is such a novelty that shares have no dividend and cannot be sold for a profit. There will be a large group of wealthy fans who love the team and want the power to say they own part of Man United. But that doesn?t mean they?ll make any money off it. So to investors, especially institutional ones it could be a tough sell. One thing Man United does have going for them is the fact that they?re an exclusive rarity that compares to nothing. Just think you could own a piece of Manchester United, the most glorified football team. For most diehard fans that?ll be an easy sell.

What other Sports Teams are Publicly Traded? While there are technically no other professional sports teams publicly traded in the U.S., investors can buy shares of Madison Square Garden (NASDAQ: MSG), which gives you ownership of the NBA?s New York Knicks, the NHL Rangers, a WNBA team, an arena and a TV network. Sorry, no Jeremy Lin though. Another similar company is Liberty Media (NASDAQ: LMCA) owns the Atlanta Braces baseball team, which is only one component of their huge portfolio of companies. Nintendo (NTDOY) owns most of the Seattle Mariners, Rogers Communications (RCI) a small piece of the Toronto Blue Jays. So technically all of these are indirect ways to owning a sports team. Outside the U.S., there are a handful of soccer teams that actively trade on other foreign global markets. For example, AJAX trades in the Netherlands; Juventus in Italy; Benfica in Portugal, and Fenerbache a lesser-known name listed in Turkey, but has an annualized return of almost 14 percent. Meanwhile the other mentioned teams all had negative annualized returns and have all been losing investments. The big question looming is where Manchester United will stand.

When will it be on the market? The worldwide roadshow is just beginning and Manchester United has elaborate plans to host a worldwide road show that will start in Europe and end in the U.S.? Pricing and trading is expected to begin at some point in August but due to recent reports of the IPO being a tough sale Manchester United has put the IPO on hold. While it?s technically on hold, things could change very soon as analysts expect the roadshow will start next week, speeding up the process in hopes to feed off of the U.S. markets big recent rally. That?s right around the time that Manchester United kicks off its regular season. Only time will tell on which will be the bigger winner, the team on the field or the team on the stock exchange.?

Facebook's earnings a 2nd chance to prove itself

Will Facebook Chief Executive Officer Mark Zuckerberg show up at the company's first earnings call?

Two months after its disastrous initial public offering, Facebook will come face to face with shareholders and analysts Thursday when it delivers its first earnings report as a public company.

It will be a second chance for the social media giant to win over the investing public and, most importantly, explain how it plans to adapt its business to the rapid migration of its users to mobile devices.

Facebook?s IPO in May,?one of the biggest stock offerings to ever hit Wall Street, was supposed to be a seminal moment in social media, technology and finance.

Instead, the event turned out to be a major humiliation for the company.

A tsunami of stock orders led to embarrassing technical glitches and the company's shares failed to get the expected opening-day "pop." Indeed, the shares stayed above the offering price on that first day only with major support from underwriting banks and since have fallen nearly 24 percent to about $29 from the offering price of $38.

Now angry shareholders are suing Facebook and its lead underwriter, Morgan Stanley, claiming they were misled.

Even before the IPO, Facebook has had to address questions about its financial prospects, particularly in the growing mobile sector, where advertising inventory is scarce.

And there are concerns that Facebook?s advertising growth is slowing.

In a blow shortly before the IPO, GM?s marketing executives said they would pull $10 million in advertising from the social network after judging the efforts had ?little impact? in reaching consumers.

In a regulatory filing ahead of the offering, Facebook said most of the $3.71 billion it made in revenue last year came from advertising. The company also said advertising revenue declined in the first quarter of the year compared with the quarter before.

The document reveals more challenges ahead for Facebook, including difficulties generating revenue from new users overseas.

About 20 percent of Facebook's current user base is in the U.S. and Canada, and half of those users access the site using mobile devices. Facebook rivals Google and Apple dominate the mobile business.

What?s more, markets where Facebook is growing most rapidly -- in Europe and Asia -- bring the company less revenue per year. Facebook brings in $3 per user in the U.S. and in Canada, but only $1.50 in Europe and just 50 cents in Asia.

On the investor side, Facebook?s IPO debacle was a lost opportunity for the company, said J.J. Kinahan, TD Ameritrade?s chief derivatives strategist.

The offering had generated strong interest from young investors under 35, many of whom had never traded stocks but are active Facebook users. Many were likely turned off by Facebook?s less-than-stellar market performance, he said.

?Facebook, and the securities industry, really lost an opportunity there,? Kinahan said.

Facebook could make up some ground with a solid earnings report Thursday afternoon, and Wall Street looks poised to react to it.

Kinahan notes that the July weekly straddle -- a trading strategy where an investor believes a stock's price will move significantly, but is not sure which direction -- is trading at $3 ahead of the report.

?In other words, the market is expecting we have a $3 move up or down based on [Facebook?s] earnings,? he said.

But Facebook?s earnings report won?t just be about numbers. Investors will want to hear from Chief Executive and Founder Mark Zuckerberg on the earnings call with analysts.

Zuckerberg has mostly left day-to-day financial responsibilities to Chief Operating Officer Sheryl Sandberg and Chief Financial Officer David Ebersman. But Zuckerberg needs to speak up on the conference call Thursday, said Michael Pachter, an analyst at Wedbush Securities.

?I think what really matters is Zuckerberg has to get on that call and say, 'I care,' and I think he?s going to,? Pachter said.

?I don?t think Zuckerberg will answer questions, but he has to be on the call,? he added. ?If he?s on the call, the stock goes up immediately. He?s the CEO, he can?t just mail it in. He has to show up. I think people care more about that than Q&A.?

Gene Munster, Piper Jaffray analyst, provides a preview of Facebook's first earnings report since going public, and discusses why he is optimistic about the social networking company and has a "buy" rating on the stock with a $41 price target.

'Big Brother's' Hantz busted for drunken driving

This former "Big Brother" contestant has just gotten himself sent to the slammer. Willie Hantz, who played the role of the villain on the CBS reality series' 14th edition before getting the boot last week, was arrested early this morning for drinking and driving in Lafayette, La., E! News confirms.

According to Cpl. Paul L. Mouton, spokesman for the Lafayette Police Department, cops were sent to an area filled with local bars around 2:30 a.m. to disperse a large crowd that was streaming out of several nightclubs. There, they spotted the 34-year-old reality star driving his car to the back of a parking lot where, for reasons unknown, he exited his vehicle and took off on foot.

After a brief pursuit, officers caught up with Hantz and he was taken into custody on suspicion of being under the influence and booked on an OWI, or operating a vehicle while intoxicated.

The Lafayette Parish Sheriff's Office tells E! News the Louisiana native currently remains in lockup and his bail has not yet been set.?

Before his bust, Hantz fortuitously informed his Facebook followers about his party plans, writing on his wall, "McKinley street pub cum get sum laf. Let's get stupid."?

As reality mavens well know, Hantz is the younger brother of "Survivor" ?scoundrel Russell Hantz, himself no stranger to Louisiana's Finest after getting collared in 2010 on a battery charge after allegedly shoving a woman at a Lafayette nightclub.?

(AP) ? A truck packed with explosives blew up in a crowded market in northwestern Pakistan on Thursday, killing 11 people, as security concerns led officials to temporarily close a supply route to NATO troops in Afghanistan.

The blast in Salarzai town in the Bajur tribal area near the Afghan border also wounded nearly two dozen people, some of them critically, and damaged several vehicles and shops, said Jehangir Azam, a local government administrator.

It's unclear whether the attack was a suicide bombing, or if the explosives were detonated by remote control, he added. No group has claimed responsibility for the attack.

A shop owner who was injured in the explosion, Sher Mohammed, was sitting in his store when he saw a pickup truck enter the bazaar. Minutes later he heard a loud detonation.

"Something hurt my arm, chest and leg, and I fell down," said Mohammed. "When I opened my eyes, I found myself on this hospital bed."

The Pakistani Taliban have a strong presence in Bajur, but the group's spokesman, Ahsanullah Ahsan, denied they were behind the bombing. The group often denies involvement in bombings with significant civilian casualties.

The army has carried out several offensives against militants in Bajur, but they continue to stage attacks.

Thursday's decision to close one of the two border crossings used by NATO to ship troop supplies into Afghanistan was made based on security concerns, said Bakhtiar Khan, a local government official.

The closure of Torkham crossing in the northwest Khyber tribal area followed an attack in the area on Tuesday in which gunmen opened fire on a convoy carrying NATO troop supplies, killing a driver and wounding two other people.

The crossing could remain closed for several days as officials work with Pakistan's paramilitary Frontier Corps to come up with an adequate security plan, said Khan.

The other crossing used by NATO convoys, Chaman in southwest Baluchistan province, remains open, said customs official Mohammed Tariq.

Pakistan closed its Afghan border to NATO supplies in November in retaliation for U.S. airstrikes that killed 24 Pakistani soldiers. Islamabad finally reopened the route in early July after the U.S. apologized for the deaths.

The flow of trucks over the border since then has been relatively thin because of bureaucratic delays and disputes over compensation.

Looking down the Road: Budgeting for Vehicle ... - Financial Highway

Nothing can harpoon your attempts at responsible financial planning like an unforeseen repair bill. If you are operating under a tight month-to-month budget, unexpected automobile expenses can, in one swift motion, throw your budget in the red, and jeopardize your entire financial plan.

Furthermore, failure to properly budget for anticipated vehicle maintenance ? oil changes, new wiper blades, tire upgrades ? can lead to you putting off needed upkeep, which in the long run will leave you stranded on the side of the road and your budgeting efforts in shambles.

For this reason, it is wise to start an automotive maintenance fund within your personal or family budget that will pay for anticipated expenses, and at the very least, provide some extra buffer for those times when you have to bit the bullet and pay for an unexpected ? and costlier ? repair.

As you likely already know, the best way to budget for future expenses is to analyze past expenditures, and this is the first step to any auto maintenance budget. Using your bank statements and vehicle maintenance records, tally up all the money you spent on auto maintenance and repairs in the past month ? don?t include gas, insurance, or registration fees in this number, as those should really be in a separate, albeit related, category.

Now divide that number by 12, to figure out how much you spent per month. If you didn?t have any major repairs done on your automobiles in the last year, I strongly urge you to add 25% to that figure, because you need to be squirrelling away enough money to pay for major repairs, even if you don?t foresee those happening. You can alter that 25% figure either up or down, depending on the age and condition of your vehicle ? if it is older and thus more likely to need repairs, you might add in an extra 50%; similarly if your vehicle is new, or recently underwent major upgrades, you might be able to get away with budgeting for the same amount that you spent last year.

So if you devoted $1200 to repairs and maintenance last year, you figure you spent on average $100 a month. Add in the extra 25% buffer, and you need to plan for just under $125 a month for maintenance and repair costs.

Regardless of your past year?s auto maintenance expenses, it is generally prudent to stash away at least $100 per month for these expenses. Hopefully, you won?t have to burn through that much money in a year to keep your car running ? and if you have carryover at the end of the year, you can adjust the amount you save each month accordingly next year. In the long run, the goal is to have a couple thousand dollars saved up for vehicle expenses.

Keeping this money in a separate account ? away from your day-to-day expenses ? is advisable. Savings accounts are obviously perfect for this task, and you can make it easy on yourself by setting your account up to automatically add the given amount to savings each month.

Planning ahead and controlling your auto maintenance costs will prove to be beneficial in other indirect ways, as well. You?ll be able to think ahead and ensure that proper maintenance is done on schedule, your long term maintenance expenses will likely go down as you focus on prevention of major problems, you?ll also likely improve the bond you have with your repairman, as you can discuss your repair/maintenance budget with him/her, improving the lines of communication.

Finally, like many sound budgeting techniques, the payoff will come with extra cash in your pocket and, maybe even more importantly, you?ll obtain some peace-of-mind, knowing that if an unforeseen expense arises, you are prepared for it.

California governor unveils ambitious water plan

SAN FRANCISCO (Reuters) - California Governor Jerry Brown and U.S. Interior Secretary Ken Salazar on Wednesday unveiled a multibillion-dollar plan for two giant tunnels that would dramatically reconfigure the state's water delivery system.

The nearly $24 billion project aims to help restore the habitat of the Sacramento-San Joaquin River Delta and improve the reliability of water supplies to the arid central and southern parts of the state.

The state already has two massive aqueducts that move water from the north to the south, but the way in which the water is transferred has severely damaged fish populations and degraded their habitat in the delta.

The planned project is similar to one Brown approved three decades ago when he was first governor. Voters rejected that project amid vociferous opposition from northern California residents. A similar political battle will be fought this time around.

"It's a long time in coming," the 74-year-old Democrat said, asserting that the project balances regional, environmental and agricultural concerns that have long blocked efforts to expand the state's water infrastructure.

The twin 35-mile tunnels would divert water from the Sacramento River just south of the state capital of Sacramento to the aqueduct system. The tunnels would bypass the delta rather than drawing water directly from it, reducing the number of fish killed by pumps and restoring natural water flows.

The tunnels would reduce the risk of environmental lawsuits that could interrupt water supplies, a critical concern for California's multibillion-dollar farming industry.

An estimated 25 million Californians who would rely on water from the tunnels would repay the bonds issued to finance them.

The cost of the tunnels is pegged at $14 billion. The additional $10 billion in costs includes debt service payments and 40 years of expenses for its operation, said Richard Stapler, a spokesman for the state resources agency.

Additional money for habitat restoration in the delta could come from an $11 billion water bond that lawmakers recently deferred until 2014, Stapler said.

Critics called the tunnels an expensive boondoggle and said there are cheaper conservation measures for the delta.

Kate Poole, a senior attorney with the Natural Resources Defense Council, said the plan for the tunnels is "putting plumbing before sensible policy."

"Twenty-first century technology opens up new sources of water, including water conservation and efficiency, recycling and other tools to allow us to reduce our reliance on the delta, allow fish to recover, farmers to farm and people to turn on the tap and rely on good quality water," Poole said.

Insurance News - Investing For Financial Independence

WASHINGTON, July 17 -- The Certified Financial Planner Board of Standards issued the following news release:

Financial insecurity has reached record levels as more Americans sacrifice long-term financial goals to pay for today's necessities. According to Certified Financial Planner Board of Standards, Inc. Consumer Advocate Eleanor Blayney, CFP(R), consumers can reclaim their long-term financial security by following a smart, pragmatic approach to investing.

"Today many Americans lack the financial resources to exercise a full range of choice over how they live," says Blayney. "Aspirations of owning a home, providing for a family, and retiring comfortably are being hampered by today's financial necessities. By prudently investing now, one can open up the future to the possibilities the American Dream promises."

Creating an investment strategy as part of a financial plan is one of the 12 steps in CFP Board's year-long "12 for '12 Approach to Financial Confidence." Blayney recommends that consumers consider six key points when making an investment plan.

* Invest in what you understand: Venturing into unfamiliar investment areas or exotic, complicated derivatives can be a prescription for failure. Start simple by creating cash reserves first for tomorrow's needs. As you become a more experienced investor with a larger portfolio and your time horizon gets longer, you can then add more complex and risky investments.

* Be prepared for losses: Losses are a necessary part of investing: without some downside, there can be no upside and, therefore, no possibility of creating a better future. For example, when you play it safe by choosing only cash or fixed income investments and avoid equities, you lose to inflation and diminished wealth in the long-term.

* "Not enough" is no excuse. Start now. Start anyway: The time to invest is now. Even if it's only a small amount, every dollar put towards meeting your future needs helps. Start small by looking at what you're spending your money on every day and cutting out one or two small expenses. Take the money you save and start investing. The earlier you begin, the less you need to invest to meet any given future goal. (This is due to the power of compound interest. For an even more powerful device, put that compound interest into a tax-deferred investment vehicle).

* Build flexibility into your investment plan: The future is inherently uncertain, so it's important to hedge your bets and position your investments with a variety of economic possibilities in mind. Whether interest rates move up or down, the Eurozone disbands, or the Republicans take the Senate in November, there should be enough diversification in your portfolio so that some of your investments come out ahead.

* Don't simply follow the leaders: Yesterday's successful strategy usually becomes today's loser. Investing in the latest hot sector or stock (think Facebook), just because everyone else is, is a bit like following others straight into enemy fire. It's a good way to lose big. Be a contrarian investor - it pays to think differently from what everyone else is doing.

The Fair Trade Commission revealed that the website violated the electronic commerce law that prohibits using false, exaggerated or deceptive means to attract customers. Five other online malls including Han Yejin?s ?Shopgirls,? Kim Junhee?s ?Evajunie,? Kim Yongpyo?s ?Lotoko,? However, Baek Jiyoung and Yuri?s shopping mall have further created distrust since the original accusation. ?I Am Yuri? and other shopping malls found guilty were ordered to write a notice of apology that was to stay on the main page for two weeks.

The additional act of dishonesty have netizens shaking their heads, and the media is criticizing them for deceiving their customers again and again. After this incident, demands for a broader crackdown on other online stores are increasing. Furthermore, netizens are now doubting current reviews on the site, commenting ?Now I am suspicious of everything I want to buy,? and ?Even the legitimate positive reviews seem fake.?

It is rare to hear a bank advising their customers to buy gold. The yellow metal pays no commission to banks, and is a competitor for savings. So it was refreshing to see the head of trading for the National Bank of Fujairah?s treasury department, Junaid Anwar Khan telling clients to buy gold for portfolio diversification in The National today.

Is gold going mainstream? Well not exactly but JM Keynes ?barbarous relic? is gaining respectability. Mr Khan was actually fairly cautious about gold, and caution used to once be a watchword amongst the better class of banker.

Conservative approach

He rightly points out that a credit event in the eurozone would probably send investors in the opposite direction to gold and into the US dollar: ?High gold prices this year, yes, but the figure of $1,900 or $2,000 or even higher is subject to what happens in Europe and whether, as a result of those events, gold is able to decouple from those events.?

That may or may not happen, in any event concludes Mr Khan: ?With the scenario that?s unfolding on the credit front, it?s vital to have all forms of diversification.?

Not exactly a ringing endorsement for gold or a guaranteed win-win situation but then what is today in current markets? Real assets like gold or property are defensive against inflation and always have a residual value in a market collapse that is not true of equities and defaulting bonds.

No to silver

Then again as you might expect from a cautious banker, silver is still off the agenda: ?The argument that some people have for buying silver is that it?s like a cheap counterpart towards gold. If gold plummets, then silver tends to plummet and vice versa. So those who find gold a bit more expensive have tried to follow the trend by investing in silver. It?s not very prudent because silver has been a lot more volatile than gold.?

True, but focused on the downside. In a rising market for gold then silver is the better buy, and there is not much argument about that. Only when silver prices have surged much higher and gold is on a roll will cautious bankers begin to look at the shiniest of metals as a good buy and that might be the time to think about selling. But you always have first to invest in an asset when it is cheap and unpopular, and that is silver right now.

Joint Ventures Should Anticipate Professional Liability Claims ? AIA ...

A joint venture is essentially a partnership, but only for a specific, and usually limited, purpose. Both partnership agreements and joint venture agreements usually allocate responsibility and compensation between or among the parties. Comprehensive joint venture agreements also address issues such as determining fault for performance that is deficient and establishing obligations for rectifying harm through reciprocal indemnification obligations; but that allocation is internal only.

How a joint venture is organized to provide services and how it assigns tasks and measures performance is a business management process. To the rest of the world, the partners or joint venturers are, in essence, co-promisers, and usually under the law are ?jointly and severally? liable for any contractual breach or professional liability. That means an injured party?whether the project client or a third party?may recover the full scope of damages awarded by a trier of fact such as a court or arbitration panel from either party or from both parties in any combination.

A joint venture is essentially a partnership, but only for a specific, and usually limited, purpose.Although a carefully drafted joint venture agreement may set up a framework for the distribution of liability between the joint venturers, that framework cannot insulate each of the joint venture firms from all risks caused by others; nothing in a joint venture agreement limits the separate liability of joint venturers to a client or a third party. The perception is that the joint venture is truly a single point of responsibility for a project, and that perception is usually reasonable and recognized in any litigation against the joint venture.

Approaching a Joint Venture

Many design professionals approach joint venturing on a far too casual basis. In most states, if a contract is signed by more than one entity or by a joint venture representing more than one entity, the firms assume the business risks inherent in the contractual agreement and, more importantly from a professional liability perspective, they assume responsibility for the negligence of the other joint venturers as well as their own. Some firms do little to anticipate the problems a joint venture might create by ignoring the fact that when they hold themselves out as a ?team? and sign a contract together, they have created a joint venture. Whether firms attempt to use language such as ?in association with? or ?as part of the design team consisting of,? the result in almost every case is the same?responsibility for the other party without any real authority or ability to control the other party?s actions.

In any joint venture, both business and professional exposures should be addressed. Concern should be given to the exposure of each firm for the negligent professional services of the other. But, as with a general partnership, each party is also fully liable for the business risks of the joint venture and the other?s acts and omissions that do not constitute negligence in the performance of professional services.

Planning for Professional Liability Exposure

In any teaming arrangement, joint venture, partnership, or project-specific limited liability company, the participants must be concerned that their exposure to claims from their client and from third parties can be properly addressed. Each of these is a progression along a spectrum of shared risk. At the teaming stage, a common or joint exposure to client claims is rarely addressed. In a formalized relationship concern has to be given to: the level of coverage and deductibles of each party; how the parties will internally fund deductible obligations; and to what extent the parties will attempt to participate in a common defense against professional liability claims that would be applicable on a joint and several liability basis.

While each firm?s professional liability insurance usually covers the specific firm for its exposure to professional liability claims caused by its negligence in the performance of professional services, comprehensive policies also cover the firm?s risk as a joint venturer. Because of the shared liability, the negligence of another joint venturer might cause a firm to be concerned that its policy would be eroded by negligence that is essentially out of its control.

Defending a joint venture works best when the firms clearly assign duties and recognize their proportionate share of risk.

Often, unrelated design professional firms who wish to form a partnership to perform services on a particular project through a joint venture attempt to state a requirement for similar professional liability insurance coverages and deductibles (on similar policy forms).? In addition, they establish a fund for deductible obligations, often equal to the deductible of both parties combined, so that the separate policies can respond as efficiently as possible. Obviously, if members of a joint venture are insured by the same carrier, the resolution of any professional liability claim is easier. Defending a joint venture works best when the firms clearly assign duties and recognize their proportionate share of risk when those duties are carried out in a negligent manner.

Prime-Sub Agreements Provide Clearer Legal Liability

From a professional liability insurance coverage perspective, it makes far more sense to provide services through a more traditional arrangement, with a prime design professional and a sub-consultant. When a prime signs a contract, it is completely responsible for the performance of the duties of the agreement, including those that might be delegated through sub-consultant agreements to other design professionals. The sub-consultants are only responsible for their own actions. This provides a much clearer understanding of duties and obligations and an articulated distribution of risk. From a professional liability exposure perspective, the clear lines of authority and responsibility of a prime-sub arrangement are preferable to the murky division of labor and liability that often accompanies a joint venture.

?Limited Liability Partnerships

Of course, a limited liability partnership (LLP) is a recent alternative to a joint venture. LLPs (or limited liability corporations) do not change the responsibility of each party for harm caused by the negligent professional services provided by either party, but they do provide protections from business risks that might not be properly addressed in a joint venture agreement. The non-negligent firm?s stake in the LLP is still at risk for the negligence of any participant. LLPs seem to provide an excellent form for pursuing design-build projects and other opportunities where a non-professional firm may be involved. Local legal counsel can provide advice on the formation of LLPs and other forms of cooperative business ventures.

Understand the Risks

Firms entering into a joint effort should understand the legal status of joint venturers under the applicable law and the insurance coverage ramifications of sharing risk. It is prudent for firms to organize their common endeavor properly. This includes recognition that there might have to be a defense of the joint venture based on each party?s participation. A specific distribution of effort within the joint venture facilitates defense based on responsibility. Examining the language of professional liability insurance policies, determining when and how a joint defense could be advantageous, and determining how defense costs and controls will be shared are essential business-planning decisions.

Research from the University of Southampton, which examines how dolphins might process their sonar signals, could provide a new system for man-made sonar to detect targets, such as sea mines, in bubbly water.

When hunting prey, dolphins have been observed to blow 'bubble nets' around schools of fish, which force the fish to cluster together, making them easier for the dolphins to pick off. However, such bubble nets would confound the best man-made sonar because the strong scattering by the bubbles generates 'clutter' in the sonar image, which cannot be distinguished from the true target.

Taking a dolphin's sonar and characterising it from an engineering perspective, it is not superior to the best man-made sonar. Therefore, in blowing bubble nets, dolphins are either 'blinding' their echolocation sense when hunting or they have a facility absent in man-made sonar.

The study by Professor Tim Leighton, from the University's Institute of Sound and Vibration Research (ISVR), and colleagues examined whether there is a way by which dolphins might process their sonar signals to distinguish between targets and clutter in bubbly water.

In the study, published in Proceedings of the Royal Society A, Professor Leighton along with Professor Paul White and student Gim Hwa Chua used echolocation pulses of a type that dolphins emit, but processed them using nonlinear mathematics instead of the standard way of processing sonar returns. This Biased Pulse Summation Sonar (BiaPSS) reduced the effect of clutter by relying on the variation in click amplitude, such as that which occurs when a dolphin emits a sequence of clicks.

Professor Leighton says:

"We know that dolphins emit sequences of clicks and the amplitude of each click can vary from one to the next, so that not all the clicks are the same loudness. We asked, what if this variation in amplitude was not coincidental, but instead was key to distinguishing fish from bubbles.

"These clicks were shown to identify targets when processed using nonlinear mathematics, raising the question of whether dolphins also benefit from such mathematics. The variation in amplitude of these clicks is the key: it produces changes in the echoes which can identify the target (fish) in the bubble net, where man-made sonar does not work.

"Although this does not conclusively prove that dolphins do use such nonlinear processing, it demonstrates that humans can detect and classify targets in bubbly water using dolphin-like sonar pulses, raising intriguing possibilities for dolphin sonar when they make bubble nets."

BiaPSS was shown to be effective in distinguishing targets from the clutter generated by bubbles in the 'field of view' of the sonar. One such target is a sea mine, which is relatively simple to purchase, and inexpensive (around $1,000 each) compared to the financial damage (let alone injury and loss of life) that they cause (for example $96 million repair to USS Samuel B Roberts; $24 million repair to USS Princeton; $3.6 million to USS Tripoli).

"There are still questions to answer. Until measurements are taken of wild dolphin sonar as they hunt in bubbly water, these questions will remain unanswered. What we have shown is that it is not impossible to distinguish targets in bubbly water using the same sort of pulses that dolphins use."

The authors previously proposed a form of sonar signal (TWIPS: Twin Inverted Pulse Sonar) that could work in bubble clouds, consisting of pairs of pulses that were identical except that one was inverted with respect to the other, that could detect targets in bubbly water if the signal processing were to make use of nonlinear mathematics.
